ITEM 7.01     REGULATION FD DISCLOSURE

On September 13, 2004, Ashford Hospitality Trust, Inc. (the “Company”) issued a press release announcing that its Board of Directors declared a dividend for its third quarter ended September 30, 2004, of approximately $0.14 per fully-diluted share, payable October 15, 2004, for shareholders of record on September 30, 2004. A copy of the press release is attached hereto as Exhibit 99.40 and is incorporated herein by reference.
