  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
   
 
       C. Edward Floyd retired as a director of Synovus Financial Corp. (“Synovus”) on May 22, 2006 as a result of his attaining the age of 72, which age is specified in Synovus’ bylaws as the retirement age for directors. At the time of his retirement, Dr. Floyd served as a member of the Corporate Governance and Nominating Committee.
