Item 8.01. Other Events.

     On February 12, 2008, American Campus Communities, Inc. (the “Company”) issued a press release announcing that it has entered into a definitive merger agreement pursuant to which American Campus Communities will acquire GMH Communities Trust. A copy of this press release is being furnished as Exhibit 99.1.

     On February 12, 2007, the Company disclosed an investor package in connection with its investor conference call to discuss the transaction. A copy of the investor package is being furnished as Exhibit 99.2.

     On February 12, 2007, the Company sent an email to its employees announcing the transaction. A copy of the letter is being furnished as Exhibit 99.3.
