Item 1.02 | Termination of a Material Definitive Agreement. |
On January 4, 2016, Akebia Therapeutics, Inc. (the Company) delivered written notice to Cantor Fitzgerald & Co. (Cantor) terminating its Controlled Equity OfferingSM Sales Agreement between the Company and Cantor dated August 11, 2015 (the Sales Agreement), effective on January 4, 2016. Prior to the termination, the Company had sold approximately $18.8 million of the $50 million of its common stock available to be sold pursuant to the Sales Agreement. No additional shares of the Companys common stock will be sold pursuant to the Sales Agreement.
A copy of the Sales Agreement was filed as Exhibit 1.1 to the Companys Current Report on Form 8-K filed with the Securities and Exchange Commission on August 11, 2015 (the Prior Form 8-K). The description of the Sales Agreement contained in this Current Report on Form 8-K does not purport to be complete and is qualified in its entirety by reference to the copy of the Sales Agreement filed as Exhibit 1.1 to the Prior Form 8-K.
