On February 20, 2014, Google Inc. (Google) entered into a terms agreement, which incorporated by reference an underwriting agreement attached as Exhibit 1 thereto (together, the Underwriting Agreement), with Goldman, Sachs & Co., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. LLC, as representatives of the several underwriters named therein, with respect to the offer and sale by Google of $1,000,000,000 aggregate principal amount of its 3.375% Notes due 2024 (the Notes). The Notes sold pursuant to the Underwriting Agreement were registered under Googles registration statement on Form S-3 (File No. 333-174228). The Notes have been issued pursuant to an Indenture (the Indenture), dated as of May 19, 2011, between Google and The Bank of New York Mellon Trust Company, N.A., as trustee.
