Item 8.01 Other Items.

On November 6, 2012, the United States Securities and Exchange Commission (the “SEC”) notified American Tower Corporation (the “Company”) that the SEC’s investigation related to the subpoena received by the Company on June 2, 2011 has been completed. The SEC indicated that it does not intend to recommend any enforcement action against the Company.
