Item 1.01 | Entry into a Material Definitive Agreement. |
On August 13, 2012, SHR Essex House LLC (the Purchaser), a wholly owned subsidiary of Strategic Hotel Funding, L.L.C., the operating company of Strategic Hotels & Resorts, Inc. (the Company), entered into a Purchase and Sale Agreement (the Agreement) to acquire the hotel commonly known as the Jumeirah Essex House from DIG EH Hotel LLC (the Seller), a wholly owned subsidiary of the Dubai Investment Group, for a purchase price of approximately $362.3 million (the Acquisition).
The Acquisition, which is expected to close on or before September 7, 2012, remains subject to customary closing conditions.
Pursuant to the Agreement, the Purchaser has deposited a non-refundable $10.0 million earnest money deposit, which is subject to loss if the Acquisition is not consummated as a result of the Purchasers default under the Agreement, unless certain conditions are not met by the Seller.
The Agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference. The foregoing description of the Agreement is qualified in its entirety by reference to the full text of the Agreement.
