Item 8.01 Other Events.
On May 4, 2005, the Registrant issued a press release announcing the continuation of its share repurchase program. On August 25, 2005, as part of that share repurchase program, the Registrant entered into a trading plan with Cantor Fitzgerald pursuant to Rules 10b5-1 and 10b-18 of the Securities Exchange Act of 1934, as amended, which provides for pre-determined repurchases of the Registrant’s common stock, subject to the terms of the plan, for the period beginning August 26, 2005 through October 31, 2005, unless earlier terminated.
