ITEM 2.03 CREATION OF A DIRECT FINANCIAL OBLIGATION OR AN OBLIGATION UNDER AN OFF-BALANCE SHEET ARRANGEMENT OF A REGISTRANT. On February 15, 2005, we received a $5,000,000 loan from Max Azria pursuant to a Promissory Note issued by us in favor of Mr. Azria. Interest accrues on the principal amount of the note at the rate of 4% per annum. The principal amount of this loan and accrued interest is due and payable in weekly installments of $250,000 each, commencing on February 28, 2005 and continuing each Monday thereafter until paid in full.
