Item 1.01 Entry Into a Material Definitive Agreement.

 

Vulcan Materials Company (the “Company”) has previously filed its Unfunded Supplemental Benefit Plan for Salaried Employees as Exhibit 10.4 to its Current Report on Form 8-K on December 17, 2008 (the “Unfunded Supplemental Plan”). The Company has executed an Amendment No. 1 to the Unfunded Supplemental Plan effective as of January 1, 2014 (“Amendment”). The Amendment freezes the Supplemental Retirement Benefits (as defined in the Unfunded Supplemental Plan) as of January 1, 2014. The entire Amendment is attached hereto and incorporated herein by reference.
