Item 8.01    Other Events
 
On January 22, 2010, Citizens & Northern Corporation (the “Company”) issued a press release announcing that the Company’s Board of Directors has declared a dividend on its common stock of $0.08 per share, payable February 12, 2010 to shareholders of record as of February 1, 2010.  Declaration of the dividend was made at the January 21, 2010 meeting of the C&N Board of Directors.  The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
