The Registrant is unable to file the subject report in a timely manner because
the Registrant was not able to complete and review timely its annual report and
financial statements without unreasonable effort or expense.

It will be necessary to write-off a substantial portion, presently estimated to
be approximately $500,000, of the Company`s inventory, which should result in a
significant change in the Company`s results of operations for the year ended
December 31, 2002 as compared to the year ended December 31, 2001.
