ITEM 5. OTHER EVENTS AND REGULATION FD DISCLOSURE.
On July 6, 2004, Wisconsin Energy Corporation issued a press release announcing that the Federal Trade Commission completed its review of the sale of Wisconsin Energy's subsidiary, WICOR Industries, LLC. In addition, the Public Service Commission of Wisconsin authorized the corporate restructuring of WICOR, Inc., another subsidiary of Wisconsin Energy, necessary to facilitate the sale. A copy of the press release is attached hereto as Exhibit 99.1.
