Item 2.02 Results of Operations and Financial Condition.

     On June 2, 2005, Thor Industries, Inc. (the “Company”) issued a press release announcing financial results for the third quarter and nine months ended April 30, 2005. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
