     (b) On September 7, 2007, Loren R. Miller, Vice President and Controller, and principal accounting officer, of SurModics, Inc. (the “Company”) notified the Company of his intention to resign from the Company. Mr. Miller has agreed to continue in his position through November 1, 2007, to ensure a smooth transition while the Company conducts a search for his replacement. Mr. Miller’s resignation is for personal reasons and does not involve any controversy or disagreement with the Company regarding its financial reporting or accounting policies, practices or principles.
