ITEM 8.01 Other Events

     On March 6, 2008, 3Com Corporation (the “Company”) issued a press release announcing that the Company plans to reconvene the shareholders’ meeting currently scheduled for Friday, March 7, 2008 and immediately adjourn the meeting, without taking a vote on the pending merger transaction. The shareholders’ meeting will be reconvened on Friday, March 21, 2008 at 8:00 a.m., local time, at the Company’s headquarters located at 350 Campus Drive, Marlborough, Massachusetts 01752-3064. The release is attached hereto as Exhibit 99.1. The release is hereby incorporated by reference in this Item 8.01.
