Item 5.02 — Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On February 14, 2008, the Compensation Committee of the Board of Directors of Lear Corporation approved an increase of the annual base salaries of Louis R. Salvatore and Raymond E. Scott, each from $550,000 to $625,000, effective February 15, 2008, and an increase of their annual incentive compensation targets from 60% to 70% of base salary. These increases were based on the recent promotions of Mr. Salvatore and Mr. Scott to the positions of Senior Vice President and President, Global Seating Systems and Senior Vice President and President, Global Electrical and Electronic Systems, respectively.
