Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 24, 2010, Robert A. Rosholt notified Abercrombie & Fitch Co. (the “Company”) that he was resigning from the Board of Directors of the Company. The Company’s Nominating and Board Governance Committee is actively engaged in a search to fill the vacancies arising from Mr. Rosholt’s resignation and the death of Edward F. Limato in July 2010. The Nominating and Board Governance Committee has retained Spencer Stuart, a leading global executive search consulting firm, to assist it in its search.
