     International Fight League, Inc. (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the three month ended June 30, 2008 within the prescribed time period because the Company could not complete the preparation of the required information without unreasonably effort and expense due to shortage of finance staff.
