Item 5.02  Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 25, 2009, President and Chief Executive Officer George Haligowski commenced a medical leave of absence from Imperial Capital Bancorp, Inc. (the “Company”) and its subsidiary, Imperial Capital Bank (the “Bank”).  In his absence, his decision making authority will be assumed by the executive committees of the boards of directors of the Company and the Bank.
