Regulation FD Disclosure
On May 12, 2009, Inland Real Estate Corporation (the Company) announced that it agreed to sell 16,000,000 shares of its common stock in an underwritten public offering. The Company also granted the underwriters a thirty-day option to purchase up to 2,400,000 additional shares to cover over-allotments, if any. The specific terms of the offering are described in a prospectus supplement, dated May 12, 2009, relating to the offering to be filed by the Company with the Securities and Exchange Commission on or about May 12, 2009.
The Company hereby updates its guidance for funds from operations (FFO) per share based solely on the final terms of the offering of common stock, including the assumption that the underwriters fully exercise the option to purchase additional common stock.
Based on the Companys current view of existing market conditions, the terms and size of the offering, and certain current assumptions and estimates, the Company expects that its updated guidance for FFO per share will be $0.16 to $0.18 lower than guidance previously issued in its press release dated May 6, 2009, furnished as Exhibit 99.1 to the Companys Current Report on Form 8-K, as furnished to the Securities and Exchange Commission on May 6, 2009.
Due to certain unique operating characteristics of real estate companies, the National Association of Real Estate Investment Trusts (NAREIT) has promulgated a standard known as FFO, which it believes more accurately reflects the operating performance of a real estate investment trust (REIT) such as the Company. The Company considers FFO a widely accepted and appropriate measure of performance for a REIT and has adopted the NAREIT definition for computing FFO. As defined by NAREIT, FFO means net income computed in accordance with U.S. GAAP, excluding gains (or losses) from sales of operating property, plus depreciation and amortization and after adjustments for unconsolidated partnership and joint ventures in which the REIT holds an interest. The calculation of FFO may vary from entity to entity since capitalization and expense policies tend to vary from entity to entity. Items that are capitalized do not impact FFO whereas items that are expensed reduce FFO. Consequently, the Companys presentation of FFO may not be comparable to other similarly titled measures presented by other REITs. FFO does not represent cash flows from operations as defined by U.S. GAAP, it is not indicative of cash available to fund all cash flow needs and liquidity, including the Companys ability to pay distributions, and should not be considered as an alternative to net income, as determined in accordance with U.S. GAAP, for purposes of evaluating the Companys operating performance.
