     This Amendment No. 15 amends and supplements the Tender Offer Statement on Schedule TO filed by Goldcorp Inc., an Ontario corporation (“Goldcorp”) and Goldcorp Acquisition ULC, a Nova Scotia unlimited liability company (“Subco”, and collectively with Goldcorp, the “Offerors”) and a wholly owned subsidiary of Goldcorp with the U.S. Securities and Exchange Commission on December 29, 2004, as amended by Amendment No. 1 filed January 14, 2005, Amendment No. 2 filed January 21, 2005, Amendment No. 3 filed January 25, 2005, Amendment No. 4 filed January 26, 2005, Amendment No. 5 filed January 27, 2005, Amendment No. 6 filed January 28, 2005, Amendment No. 7 filed February 3, 2005, Amendment No. 8 filed February 4, 2005, Amendment No. 9 filed February 8, 2005, Amendment No. 10 filed February 9, 2005, Amendment No. 11 filed February 10, 2005, Amendment No. 12 filed February 11, 2005, Amendment No. 13 filed February 15, 2005 and Amendment No. 14 filed February 18, 2005 (as amended, the “Schedule TO”).

     The Schedule TO relates to the offer by Goldcorp and Subco to purchase all of the outstanding common shares of Wheaton River Minerals Ltd. on the basis of 0.25 Goldcorp common share for each Wheaton common share (the “Offer”). The Offer is subject to the terms and conditions set forth in the Take Over Bid Circular, dated December 29, 2004, and the related Letter of Acceptance and Transmittal (“Letter of Transmittal”), copies of which were filed as Exhibits (a)(1)(A) and (a)(1)(B), respectively, to the initial Schedule TO. The Notice of Extension, dated January 25, 2004 (the “First Notice of Extension”), was filed as Exhibit (a)(4)(I) to Amendment No. 3 and amended and supplemented certain terms and conditions of the Offer contained in the Take Over Bid Circular. The Notice of Extension and Subsequent Offering Period, dated February 14, 2005 (the “Second Notice of Extension” and, collectively with the First Notice of Extension, the “Notices”), was filed as Exhibit (a)(4)(AA) to Amendment No. 13 and amended and supplemented certain terms and conditions of the Offer contained in the Take Over Bid Circular.

     Capitalized terms used herein and not defined herein have the respective meanings assigned to such terms in the Take Over Bid Circular as amended amendments to the Schedule TO and the Notices (the “Take Over Bid Circular”).

     This Amendment No. 15 constitutes the final amendment to the Schedule TO required by Rule 14d-3(b)(2) under the Securities Exchange Act of 1934, as amended.

Item 8. INTEREST IN THE SECURITIES OF THE SUBJECT COMPANY.

Item 11. ADDITIONAL INFORMATION.

Items 8 and 11 of the Schedule TO are hereby amended and supplemented to include the following:

     At 5:00 p.m. (Toronto time) on February 28, 2005, the Offer expired. Based on information provided by the Depositary, as of such time, approximately 470,408,200 Common Shares were tendered pursuant to the Offer, including Common Shares tendered pursuant to notices of guaranteed delivery. Such Common Shares constituted approximately 82% of the outstanding Common Shares.

     Upon the terms and subject to the conditions of the Acquisition Agreement, Goldcorp and Wheaton will take all necessary action so that Goldcorp or Subco may acquire all of the Common Shares not acquired by the Offerors under the Offer. The Offerors expect to complete the acquisition of the Common Shares that were not tendered pursuant to the Offer through a plan of arrangement under the Companies Act (Nova Scotia).

     On March 1, 2005, Goldcorp issued a press release announcing the final results of the Offer. The full text of the press release is filed as Exhibit (a)(4)(CC) hereto and is incorporated by reference herein.
