Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
 
The Student Loan Corporation (the Company) has appointed Joseph P. Guage, 41, to the position of Chief Financial Officer effective March 8, 2010. Mr. Guage has been the Company’s Controller and Chief Accounting Officer since August 2007 and was appointed interim Chief Financial Officer effective February 12, 2010. From May 2006 to August 2007, he held the position of Assistant Controller with primary responsibility for Corporate Reporting and Accounting Policy. Mr. Guage will retain his responsibilities as Controller and Chief Accounting Officer until a replacement is named.

Prior to joining The Student Loan Corporation, Mr. Guage spent six years at the Eastman Kodak Company where he held various financial and controllership positions. Mr. Guage holds a Bachelor of Business Administration in Accounting from St. Bonaventure University and a Masters degree in Finance from the Rochester Institute of Technology and is a Certified Public Accountant, registered in New York State.
