On April 9, 2003, the Company issued a press release announcing its intention to sell $125 million of Convertible Subordinated Notes due 2008, in a private offering pursuant to the Rule 144A under the General Regulations of Securities Act of 1933, as amended. On April 16, 2003, the Company issued a press release announcing that it had sold $150 million of 2 ¼% of Convertible Subordinated Notes due 2008, in a private offering pursuant to the Rule 144A under the General Regulations of Securities Act of 1933, as amended.
