This  Amendment  No. 2 amends and supplements  the  statement  on
Schedule  13D and the cover page thereto filed on March 22,  2000
by  Intel  Corporation (the "Reporting Person"),  as  amended  to
date,  with  respect to its beneficial ownership of common  stock
and  warrants  issued by Standard Microsystems  Corporation  (the
"Common Stock"), a Delaware corporation (the "Issuer").
