ITEM 8.01.

OTHER EVENTS

Bairnco Corporation (the “Corporation”) is filing herewith a press release issued on Monday, October 4, 2004, as Exhibit 99 which is incorporated by reference herein.  This press release was issued to announce that Kasco’s 30 hourly union employees at its manufacturing and distribution facility located in St. Louis, Missouri went on strike.  Discussions toward resolution of the work stoppage are continuing.  Management intends to continue operating the plant during the strike.
