RESULTS OF OPERATIONS AND FINANCIAL CONDITION

Bairnco Corporation (the “Corporation”) is filing herewith a press release issued on Friday, July 16, 2004, as Exhibit 99 which is incorporated by reference herein.  This press release was issued to announce the Corporation’s second quarter 2004 operating results.   

This amended Form 8-K/A is being filed to correct a typographical error in the third sentence of the second paragraph under the “Performance” section of Bairnco’s second quarter 2004 press release dated July 16, 2004. The $722,000 of relocation and closing expenses for the second quarter 2004 referred to therein should have been $632,000.
