Item 1.01                      Entry into a Material Definitive Agreement
 
 
On December 30, 2010, Haverty Furniture Companies, Inc. (the “Company”) entered into a Retailer Program Agreement (the “Agreement”) with GE Money Bank (“GE”) which sets forth terms and conditions under which GE will provide revolving consumer credit to qualifying customers of the Company for the purchase of goods and services. The term of the agreement is through February 28, 2014.
 
The Agreement replaces a previous Dealer Agreement between the Company and CitiFinancial Retail Services of Citicorp Trust Bank, fsb, under which a private label credit card program was offered to the Company’s customers. GE had become a party to the Dealer Agreement as a successor by assignment in October 2010.
