Item 1.01 Entry into a Material Definitive Agreement.

On September 28, 2007, Brush Engineered Materials Inc. (the "Company") entered into an Amended and Restated Precious Metals Agreement with The Bank of Nova Scotia. The amended and restated precious metals agreement, among other things, enables the Company to enter into additional precious metals agreements to increase its aggregate availability of precious metals to $140 million. A copy of the Amended and Restated Precious Metals Agreement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
