Item 8.01 Other Events.

On June 4, 2007, Huntington Bancshares Incorporated issued a news release announcing that the Federal Reserve Board has approved its merger application of Sky Financial Group Inc. The merger was previously approved by Huntington shareholders at their May 30, 2007 shareholder meeting, and by Sky Financial shareholders at their meeting held on June 4, 2007. The merger is expected to close early in the third quarter, subject to other customary closing conditions. A copy of the news release is attached as Exhibit 99.1 to this Report, and is incorporated herein by reference.
