Item 2.01. Completion of Acquisition or Disposition of Assets.

Seabulk Transport, Inc. (the "Company"), a wholly-owned subsidiary of Registrant, has acquired the remaining 33% minority ownership interest in its U.S.-flag, single-hull product tanker SEABULK AMERICA from Stolt-Nielsen Transportation Group, Inc. ("Stolt"). The Company completed the transacion on December 15, 2004, through the purchase of minority limited partnership interests of Stolt in two Florida limited partnerships. The sale price was $2.4 million as well as the retirement of certain inter-company debt.

A copy of the Agreement for the Purchase and Sale of Selected Assets is attached to this report as Exhibit 10.40, and is incorporated herein by reference.
