(b) On December 4, 2018, Dawn Willoughby, Executive Vice President and Chief Operating Officer of The Clorox Company (the “Company”), provided notice of her intention to resign from the Company on January 4, 2019, following 18 years of service with the Company.

A copy of the press release announcing Ms. Willoughby’s resignation is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
