Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 5, 2018, Kelly E. Rakowski informed Premier, Inc. (the “Company”) that she will resign from her position as Senior Vice President – Premier Performance Partners, effective as of July 20, 2018. Prior to the effectiveness of her resignation, Ms. Rakowski will continue in her current role with the Company and will assist the Company in transitioning her responsibilities through the date of her departure. Ms. Rakowski is expected to be a named executive officer in the Company’s definitive proxy statement for its 2018 Annual Meeting of Stockholders.

The Company announced the promotion of Leigh Anderson, the Company’s current Chief Information Officer, to President of Performance Services effective as of July 20, 2018. In his new role, Mr. Anderson will continue to report to Michael J. Alkire, the Company’s Chief Operating Officer, and will have overall responsibility for the Company’s Performance Services segment. The Company expects to commence a search for a new head of performance partners that will report directly to Mr. Anderson.
