Item 5.02.

Departure of Directors or Certain Officers

Effective August 21, 2015, James C. Saneholtz retired from the Company’s Board of Directors. Mr. Saneholtz has been a valued member of the Company’s Board of Directors since 1995. He served as Chairman of the Bank Building Committee and was a member of the Director Loan Committee.

Prior to joining the Farmers & Merchants Bancorp, Inc. Board of Directors, Mr. Saneholtz served on the Bank’s Montpelier Advisory Board.

At the present time, the Board has voted to decrease the director size to eleven (11).
