On September 16, Covidien Chairman, President and CEO Joe Almeida and Medtronic Chairman and CEO Omar Ishrak visited Zurich to host a Town Hall with employees, and to meet with Covidien leaders to get an overview of our business in Europe and the European Emerging Markets, Middle East and Africa. This is part of a series of visits by both CEOs to Covidien and Medtronic sites. Previous stops include Covidiens sites in New Haven, Connecticut, Plymouth, Minnesota and Miami, Florida; as well as Covidien and Medtronic sites in Colorado. The CEOs plan to visit other locations in the coming months.
The Medtronic team was enthusiastic about our business in the region, and our ability to make a positive impact on patients worldwide. They were highly engaged and asked thoughtful, in-depth questions.
Omar took time to explain the companys Mission to alleviate pain, restore health and extend life. He also underscored Medtronics strong commitment to patients and expressed pride and excitement at the prospect of the two companies making a difference together. The feedback that I personally received from the attendees of the Town Hall was overwhelmingly positive.
Combining two companies of our size and reach is complicated and will require a defined approach and strategy to ensure a successful integration. There are two major phases of integration during an acquisition pre-close integration planning and post-close implementation of those integration plans. Currently, we are in the pre-close planning stage.
Omar Ishrak outlined the following key principles for the integration planning effort:
| Preserve: Focus on your business. Each company must continue to stay focused on delivering on our current commitments to customers, shareholders and patients. |
| Optimize: Effective integration planning requires understanding both companies current operations and what capabilities, processes and people will best serve the combined company when the proposed acquisition closes. |
| Accelerate: Our goal is to conduct the assessment and implementation of the integration as quickly as possible. |
| Transform: Once the transaction closes, a cultural and financial transformation follows. |
