Item 5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics

On April 18, 2013, Trimble Navigation Limited (the “Company”) implemented an amended and restated Business Ethics and Conduct Policy. The revised Business Ethics and Conduct Policy contains editorial changes to support effective communication and additional discussion of important topics based upon the evolution of practices in this area and the Company’s business. The revised policy includes additional discussion of computer and internet use, financial reporting and recordkeeping, and substance use and abuse, among others items. A copy of the Company’s revised Business Ethics and Conduct Policy can be found on the Company’s website at http://investor.trimble.com.
