On May 5, 2011, Circor International, Inc. (the Company) announced that Paul M. Coppinger, its Group President, Circor Energy Products, would be leaving the Company effective at the end of the day on May 13, 2011.

The Company held its 2011 Annual Meeting of Stockholders on May 4, 2011. The proposals before our stockholders and the results of voting on such proposals were as provided below.
(i) Election of Directors: the following persons were elected as Class III directors for three year terms, such terms to continue until the Annual Meeting of Stockholders to be held in 2014 and until each such directors successor is duly elected and qualified or until his earlier resignation or removal:

Based on these results and consistent with a majority of votes cast with respect to this matter, the Companys Board of Directors has decided to include an advisory vote on the compensation of the Companys Named Executive Officers in the Companys proxy statement each year until the next advisory vote on the frequency of such votes.
