ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On December 16, 2010, Columbia Sportswear Company entered into a first amendment (the “Amendment”) to its Credit Agreement dated June 15, 2010 with Wells Fargo Bank, National Association, as the administrator for the lenders and as a lender, and Bank of America, N.A., as a lender. The Amendment, effective December 16, 2010, amends the Tangible Net Worth financial covenant in the Credit Agreement.

The Amendment, filed as exhibit 10.1 to this Form 8-K, is incorporated into this Item 1.01 by reference.
