Item 8.01 Other Events

On August 28, 2009, Clear Channel Communications, Inc. (“Clear Channel” or the “Registrant”) issued a press release announcing the expiration and final results of the previously announced cash tender offer (the “Tender Offer”) by CC Finco, LLC, an indirect wholly-owned subsidiary of Clear Channel, to purchase certain of Clear Channel’s outstanding senior notes.

The Tender Offer expired at 12:00 midnight, New York City time, on August 27, 2009.

A copy of the press release is furnished with this Current Report on Form 8-K as Exhibit 99.1 attached hereto and is incorporated by reference herein.
