Item 2.02

Results of Operations and Financial Condition.

On April 23, 2008, Extreme Networks, Inc. issued a press release announcing its financial results for the fiscal quarter ended March 30, 2008 and held a conference call regarding those results.

The press release as originally issued on April 23, 2008 contained an error in the condensed consolidated statement of operations regarding the number of shares in the diluted per share calculation for the nine months ended March 30, 2008. The number of shares as originally presented in the issued condensed statement of operations was 115,233,000. The number of shares that should have been presented in the condensed statement of operations is 115,685,000. We have corrected the number of shares in the attached condensed statement of operations. This share correction does not affect the originally reported diluted net income (loss) per share of $0.07.

Copies of the press release, as amended, and a transcript of the conference call relating to the financial results for the fiscal quarter ended March 30, 2008, are attached hereto as Exhibit 99.1 and 99.2, respectively, and incorporated herein by reference.
