This Amendment No. 3 (this “Amendment”) amends and supplements the Tender Offer Statement on Schedule TO originally filed by Multimedia Games, Inc., a Texas corporation (the “Company”), with the Securities and Exchange Commission (the “SEC”) on June 8, 2007, as amended and supplemented by Amendment No. 1 to Schedule TO filed by the Company with the SEC on June 18, 2007 and Amendment No. 2 to Schedule TO filed by the Company with the SEC on July 11, 2007, relating to the offer by the Company to purchase up to $25,000,000 in value of shares of its common stock, par value $0.01 per share, including the associated preferred share purchase rights issued pursuant to the Rights Agreement, dated October 12, 1998, by and between the Company and Corporate Stock Transfer, as Rights Agent, at a price not greater than $13.50 nor less than $12.25 per share, net to the seller in cash, without interest, upon the terms and subject to the conditions set forth in the Offer to Purchase dated June 8, 2007, together with any supplements and amendments thereto (the “Offer to Purchase”), and in the related Letter of Transmittal, together with any supplements and amendments thereto (the “Letter of Transmittal”).

This Amendment is intended to satisfy the reporting requirements of Rule 13e-4(c)(4) promulgated under the Securities Exchange Act of 1934, as amended.

The information in the Offer to Purchase and the Letter of Transmittal, copies of which were previously filed with Schedule TO as Exhibits (a)(1)(i) and (a)(1)(ii) thereto, respectively, is incorporated herein by reference in answers to Items 1 through 11 in Schedule TO, except that such information is hereby amended and supplemented to the extent specifically provided herein.

ITEM 11. ADDITIONAL INFORMATION.

Item 11 of Schedule TO is hereby amended and supplemented by adding the following:

On July 16, 2007, the Company issued a press release announcing the final results of the tender offer, which expired at 5:00 p.m., New York Time, on July 10, 2007. A copy of the press release is filed as Exhibit (a)(5)(v) to this Schedule TO and is incorporated herein by reference.
