Wachovia Capital Trust IX (the “Trust”) hereby incorporates by reference the description of its 6.375% Trust Preferred Securities (the “Trust Preferred Securities”) to be registered hereunder contained under “Description of the Trust Preferred Securities” in the final prospectus supplement, dated May 1, 2007, filed with the Securities and Exchange Commission on May 3, 2007 in connection with the automatic shelf registration statement on Form S-3 (File Nos. 333-140491 and 333-140491-07) (the “Registration Statement”) filed on February 7, 2007.
