Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 29, 2007, Choice Hotels International, Inc. announced that Joseph M. Squeri, President and Chief Operating Officer, is leaving the Company and will pursue other professional interests. The Company issued a press release announcing said departure, which is attached hereto as Exhibit 99.1.

Currently, the Company is finalizing arrangements with Mr. Squeri confirming the parties’ post-employment rights and obligations, including mutual releases and the terms of certain benefits under his 1999 employment agreements.
