Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers

Patrick W. Allender, Executive Vice President of the Company, has notified the Company that he will retire effective as of February 28, 2007. In connection with Mr. Allender’s retirement, the Company and Mr. Allender have entered into a consulting agreement whereby beginning April 1, 2007, Mr. Allender will make himself available to perform certain consulting services for the Company for a monthly retainer of $20,000. Either party may terminate the agreement at any time upon 30 days prior written notice, or immediately if the other party materially breaches the agreement and fails to cure the breach within ten days of receiving notice of the breach. The agreement also contains customary confidentiality provisions.
