Item 8.01—Other Events.

On May 22, 2006, Ottawa Savings Bancorp, Inc. issued a press release announcing the ratification of McGladrey & Pullen, LLP as independent auditors for the company, the election of Messrs. Arthur C. Mueller and Daniel J. Reynolds as directors for its Board of Directors for a three year term, the approval of the 2006 Ottawa Savings Bancorp Inc. Equity Incentive Plan and declaration of a cash dividend of $0.05 per share. The dividend will be payable on June 22, 2006, to stockholders of record as of June 2, 2006. A copy of the press release is attached as Exhibit 99.1.
