Section 2- Financial Information
Item 2.04. Triggering Events That Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.
During the course of preparing for the audit for its fiscal year ended February 28, 2006, Q.E.P. Co., Inc. (the Company) became aware, and on March 14, 2006, determined that, the Company was in violation of financial covenants under the Companys credit facility (the Credit Facility) with its senior lenders (collectively, the Lenders) that required the Company to maintain a certain senior debt to trailing EBITDA ratio and a certain fixed charge coverage ratio (both ratios as defined in the Credit Facility). A violation of the financial covenants would, unless waived by the Lenders, constitute an event of default under the Credit Facility, giving the Lenders the right to prohibit additional borrowing under the Credit Facility, accelerate the Companys indebtedness thereunder, and take other actions as provided for in the Credit Facility. As of March 14, 2006, $26,400,333 of borrowings was outstanding under the Credit Facility.
On March 20, 2006 the Company was granted a waiver of the current non-compliance of these covenants from the Lenders.
