Pursuant to Rule 457(h)(1), the maximum aggregate offering price is calculated as the sum of (a) the product of 1,942,259 shares issuable upon the exercise of outstanding options as of October 31, 2005 multiplied by the exercise prices varying from $0.2 per share to $65.8 per share, which is equal to an aggregate offering price of $12,820,468, and (b) the product of the remaining 3,097,741 shares issued or reserved under the plan multiplied by the average of the high and low prices for the Registrant’s American Depositary Shares, or ADSs, as quoted on the Nasdaq National Market on October 31, 2005, or $69.39, which is equal to an aggregate offering price of approximately $214,952,248.
(3) These shares may be represented by the Registrant’s ADSs, each of which represents one class A ordinary share.
