Item 1.01. Entry into a Material Definitive Agreement
On January 31, 2005, Old Dominion Freight Line, Inc.’s Board of Directors (the “Board”) approved changes to the compensation to be paid to non-executive members of the Board. A summary of such compensation is attached as Exhibit 10.18.1.
