The Amended Credit Agreement, which will become effective on January 2, 2007 (subject to satisfaction of certain closing conditions), extends the maturity date of the revolving credit facility provided under the Company's existing Credit Agreement to January 2, 2012, increases the existing commitments of the lenders under the facility by $50 million, to $125 million, and increases the ratio of consolidated total funded debt to total capitalization which the Company may not exceed to .65 to 1.00. A copy of the Amended Credit Agreement is filed herewith as Exhibit 1 and incorporated herein by reference. Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant As described more fully under Item 1.01, on December 19, 2006, the Company entered into the Amended Credit Agreement, which extended the maturity of, and increased the maximum principal amount which the Company may borrow under, its existing unsecured revolving credit facility, which is a direct financial obligation of the Company.
