Item 8.01. Other Events.

 

On December 21, 2012, American Realty Capital Trust, Inc. (the “Company”) added a slide to its investor presentation originally released on December 12, 2012, in connection with the Company’s Special Meeting of Stockholders scheduled for January 16, 2013, to consider and vote on, among other things, a proposal to approve the merger of the Company with and into Tau Acquisition LLC, a Delaware limited liability company and a direct wholly owned subsidiary of Realty Income Corporation, a Maryland corporation (“Realty”).

 

The additional slide can be found on page 28 of the investor presentation and provides information supporting the analysis that, if the Merger is consummated, access to Realty’s long term, fixed-rate debt would allow the Company to meet its long term balance sheet goals immediately, significantly reducing the Company’s floating rate interest exposure and debt recapitalization risk.
